These Terms of Service ("Terms") govern your use of KimiClaw AI's website design and development services provided by KimiClaw AI ("Company", "we", "us", or "our").
1. Services
KimiClaw AI provides website design, development, and related digital services. The scope of services for each project is defined in individual project agreements or proposals communicated via email.
2. Payment Terms
- Payment is due only after the client has reviewed and approved the completed website.
- No upfront payment is required unless separately agreed in writing.
- Approved invoices are payable within 7 days of issuance.
- If a client is not satisfied after reasonable revisions, no payment is owed.
3. Revisions and Scope
Revisions are included within the agreed project scope. Work outside the agreed scope may be subject to additional charges, which will be communicated and agreed before proceeding.
4. Intellectual Property
Upon receipt of full payment, the client receives full ownership of the completed website, including source code, design files, and all associated assets. KimiClaw AI retains no rights to the delivered work after payment.
KimiClaw AI retains the right to display the completed work in its portfolio unless the client requests otherwise in writing.
5. Client Responsibilities
- Providing accurate project briefs, content, and materials in a timely manner
- Ensuring all content provided does not infringe third-party intellectual property rights
- Providing feedback within a reasonable timeframe to avoid project delays
- Ensuring they have the right to use any images, text, or assets they provide
6. Limitation of Liability
KimiClaw AI's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the project and not to disclose such information to third parties without prior written consent.
8. Termination
Either party may terminate a project agreement with written notice. If terminated before delivery, the client owes nothing. If terminated after delivery and approval, standard payment terms apply.
9. Governing Law
These Terms are governed by the laws of India. Disputes shall be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of courts in India.
10. Changes to Terms
We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the new Terms.
